Terms of Service
Important: These general terms govern every engagement with DNA Services. By working with us you fully accept the terms below.
1. Definitions
- Provider: DNA Services, a sole proprietorship based in Switzerland.
- Client: Any individual or legal entity working with the Provider.
- Services: Software development, web and mobile apps, consulting, maintenance, and related services.
- Quote: Contractual document detailing scope, timeline, and pricing.
- Hourly bundle: Prepaid hours available for use within a defined period.
2. Scope
These terms apply to every service provided by DNA Services and govern the contractual relationship between Provider and Client.
Any order implies unconditional acceptance of the terms. Specific conditions prevail only if expressly agreed in writing.
The Provider may update these terms. The version in force on the order date applies.
3. Acceptance
Signing a quote, paying a deposit, or starting the collaboration constitutes full acceptance of these terms.
The Client commits to providing accurate and complete information required to deliver the services.
4. Quotes and orders
4.1 Preparation
Every project is subject to a free detailed quote specifying scope, deliverables, timeline, and pricing.
Quotes remain valid for 30 days. After that, pricing may be adjusted to reflect evolving costs or scope.
4.2 Confirmation
- Signed quote (digital or handwritten).
- Payment of the agreed deposit when applicable.
- Written confirmation by email.
4.3 Changes
Any change requested mid-project will be formalised through an addendum specifying the impact on budget and timeline.
5. Pricing & payment
Prices are expressed in Swiss francs (CHF) excl. tax. VAT is added where applicable.
5.1 Fixed-price projects
- Deposit of 30–50% upon order.
- Optional milestone payments agreed beforehand.
- Remaining balance due upon delivery or production launch.
5.2 Hourly bundles
- Full payment upfront.
- Valid for 12 months.
- Unused hours are non-refundable after expiry.
5.3 Time & material
- Monthly invoicing based on actual time spent.
- Detailed activity report with every invoice.
6. Service delivery
The Provider deploys the necessary resources to deliver the services described in the accepted quote.
The Client supplies information, access, and validations in a timely manner. Delays attributable to the Client may shift the schedule.
Testing and acceptance are performed jointly. Production deployment confirms acceptance.
7. Intellectual property & confidentiality
Deliverables are transferred to the Client once full payment is received. Existing tools and components remain the Provider’s property.
The Provider keeps all information confidential. NDAs can be signed upon request.
8. Governing law
These terms are governed by Swiss law. Any dispute shall, failing amicable resolution, be submitted to the competent courts of the canton of Vaud.
